Part A

Privacy Policy

This Policy describes how DEKALOS ("we", "us") collects, uses, retains and protects information in the course of reviewing vendor billing documents for businesses. It is written to be read. Where it makes a technical claim, the claim describes how the service is built.

1. Scope and definitions

This Policy applies to information provided to us by or on behalf of a business that requests a review ("you", the "Client"), to the documents that business supplies, and to visitors to dekalos.com (the "Site").

A Document is a vendor billing record you supply: a merchant card processing statement, a commercial electricity bill, a parcel carrier invoice together with a rate agreement, or a software billing summary together with a user list. Extracted Figures are the numerical values read from a Document: the vendor, the billing period, volumes, each charge line with its label and amount, and totals. Identifying Detail is everything else a Document carries: the business name, merchant, account and terminal numbers, addresses, deposit and banking detail, and any person's name.

2. Information we collect

We collect only what the review needs:

  • Documents, supplied by you by one of the three routes in section 3.
  • Business context: your business type (for example, restaurant with cards present), the vendor, and the billing period.
  • Contact information: an email address to reply to and, for monitoring clients, the address to which monthly reports are sent.
  • Correspondence: emails you send us.

We do not collect portal logins, passwords, API keys or account credentials of any kind, and we decline them if offered. We do not collect payment card numbers. We do not collect information about your customers.

3. How a document is handled

Every Document is reduced to its Extracted Figures and then discarded. Identifying Detail is not retained. Any sequence of five or more digits inside a charge label — a terminal or merchant number printed within a fee description — is replaced with the text [redacted]. The Extracted Figures are filed under a client reference number assigned by us, which has no meaning outside our records. The three routes differ only in where the reduction happens:

RouteWhere the Document is readWhat happens to it
Emailed to us On a DEKALOS computer Reduced to Extracted Figures, verified against its own printed totals, then deleted. Deletion is a step of the same process, not a later housekeeping task.
Sent automatically by your vendor to your private DEKALOS address (monitoring) In memory on a DEKALOS computer Never written to storage as a file. The email carrying it is permanently deleted from the mailbox within minutes of arrival, as part of the same process.
Prepared in your browser at dekalos.com/prepare On your own computer Never received by us. The page is served under a security policy that forbids it from making any network request; you email us only the Extracted Figures it produces.

4. What we retain, and for how long

RecordContainsRetained
Documents The file you supplied Not retained. See section 3.
Extracted Figures Vendor, period, volumes, charge lines, totals; your client reference For the duration of the engagement and, for monitoring clients, month by month so that trends can be reported; then for up to seven years where needed to support an invoice, a query or a legal obligation.
Reports and review notes The report sent to you; our internal notes on it As above.
Client record Client reference, business type, vendor, contact email, the statement lines confirmed on your first review For the duration of the engagement and up to seven years after.
Fee ledger Vendor fee labels and their classification (legitimate, removable, requires contract review). No client names, amounts or documents. Indefinitely. It is a reference work, not a client record.
Correspondence Emails to and from contact@dekalos.com As ordinary business correspondence, up to seven years.

On request we will delete every record above that relates to you, except where retention is required by law or to resolve a dispute, and we will confirm when it is done.

5. How information is used

Information is used only to:

  • perform the review you requested and prepare your report;
  • for monitoring clients, compare each month with the months before it and report the trend;
  • verify a saving and issue an invoice where a success fee applies;
  • respond to your correspondence and requests;
  • maintain the fee ledger described in section 4, which improves the accuracy of every review.

We do not use your Documents or Extracted Figures for marketing, for profiling, to train any automated system, or for any purpose not listed above.

6. Disclosure and third parties

We do not sell, rent, trade or share your information with anyone. We do not contact your processor, utility, carrier, insurer or any other vendor, and we do not act for you in dealings with them. The only third parties that touch information in the ordinary course are the infrastructure providers below, each of which processes it on our behalf under its own published terms:

We may disclose information where required by law, by a court order, or to establish or defend a legal claim, and then only to the extent required.

7. Security

The principal safeguard is that little exists to protect: Documents are discarded, Identifying Detail is not retained, and what remains carries a reference number rather than a name. Beyond that:

  • Processing takes place on DEKALOS equipment under our physical control, not on a shared server.
  • Mailbox access uses a single-purpose application credential, stored with permissions that restrict it to the operator's account and excluded from any code repository or backup.
  • Extracted Figures and reports are stored outside any version control or cloud synchronisation.
  • The Site is served over HTTPS only, with a content security policy that blocks all scripts on every page except dekalos.com/prepare, where the policy forbids any network request.
  • Every reduction of a Document is verified against the Document's own printed totals before the Document is deleted, so a misread is caught while the original still exists.

In the event of a breach affecting your information we will notify you without undue delay, describe what was affected, and report to the Office of the Privacy Commissioner of Canada where the law requires it.

8. This website

The Site sets no cookies, runs no analytics, carries no advertising and includes no tracking of any kind. It has no user accounts and no upload facility. The page at dekalos.com/prepare runs a script on your own computer to read a PDF you choose; the page is forbidden by its security policy from transmitting anything, which your browser enforces and which can be verified by inspecting the page's response headers.

9. Your rights and choices

You may at any time, by emailing contact@dekalos.com:

  • ask what information we hold about you and receive a copy;
  • ask for it to be corrected;
  • ask for it to be deleted, subject to section 4;
  • withdraw from monitoring, after which no further Documents are processed for you;
  • ask a question or raise a concern about this Policy.

We respond within thirty days. You may also complain to the Office of the Privacy Commissioner of Canada. If you are in a jurisdiction that grants additional rights, we honour them on the same request.

10. Cross-border transfers

DEKALOS operates from Ontario, Canada. The providers in section 6 operate in the United States and elsewhere, and information handled by them may be stored or processed outside Canada, where it is subject to the laws of that place. We choose providers whose terms include contractual protection for the information they handle.

11. Changes to this policy

We may revise this Policy. The effective date at the top of the page changes when we do, and material changes are notified to current clients by email before they take effect. Continued use of the services after that date is acceptance of the revised Policy.

12. Contact

Questions, requests and complaints about privacy: contact@dekalos.com. We are the privacy officer for the purposes of Canada's Personal Information Protection and Electronic Documents Act.

Part B

Terms of Use

These Terms govern your use of the Site and of the free review. Paid services are governed by a separate written agreement (section 18), which prevails over these Terms where the two differ.

13. Acceptance

By using the Site or sending us a Document you accept these Terms and the Privacy Policy above. If you are acting for a business, you confirm you are authorised to bind it. If you do not accept these Terms, do not use the Site or send us anything.

14. Nature of the service

DEKALOS reviews vendor billing Documents for indications of overcharge or waste by comparing their Extracted Figures against published benchmarks, the tariffs and agreements applicable to your account, and the Document's own internal consistency. A review produces a written report of findings, each with the arithmetic that produced it, or a statement that no material finding was made.

15. No advice, no guarantee

A report is analysis, not advice. It is not legal, tax, accounting, insurance or financial advice, and no professional relationship of that kind is created. Every figure in a report is an estimate derived from the Document you supplied and from benchmark data that may be incomplete or out of date. A finding is not a guarantee that any amount will be recovered, any charge removed, or any rate reduced. We recommend that you confirm each finding with the vendor concerned before acting on it.

16. Our role

DEKALOS does not contact your vendors, does not negotiate for you, does not sign anything on your behalf, and does not act as your agent, representative, broker or fiduciary. Any dealing with a vendor is yours to conduct. Wording we supply for that purpose is provided as a convenience and is used at your discretion.

17. Free review

The summary of a review is provided free of charge and creates no obligation on either party. If no material finding is made, nothing further happens. The itemised report is delivered under the agreement described in section 18, once it is signed.

18. Paid services and agreements

Monitoring subscriptions and success fees are governed by a separate written agreement between you and DEKALOS, which sets out the fee, how a saving is measured and confirmed, when an invoice is issued, and how the agreement ends. Nothing on the Site constitutes an offer capable of acceptance, and no fee is payable unless and until that agreement is made. Prices shown on the Site are indicative and may change.

19. Your documents and representations

You represent that:

  • any Document you send is yours to send, or you are authorised by its owner to send it;
  • the Document is genuine and unaltered;
  • the business context you give us is accurate.

You retain all rights in your Documents. You grant DEKALOS only the limited licence needed to review them as described in the Privacy Policy, which ends when the Document is discarded.

20. Acceptable use

You agree not to:

  • send us a Document you are not entitled to send, or one belonging to a business that has not authorised the review;
  • use the Site or a report to harm, defraud or mislead any person, including a vendor;
  • attempt to probe, disrupt or gain unauthorised access to the Site or to any system we use;
  • reproduce, resell or redistribute a report as your own work or as the work of a third party.

21. Intellectual property

The Site, its text and design, the DEKALOS name and mark, the structure and wording of our reports, and the fee ledger described in the Privacy Policy are owned by DEKALOS. A report prepared for you may be used by you for the purpose of dealing with your own vendors and advisers. Nothing here grants any other right.

22. Disclaimer of warranties

The Site and the free review are provided "as is" and "as available". To the fullest extent permitted by law, DEKALOS disclaims all warranties, express or implied, including any warranty of accuracy, completeness, merchantability, fitness for a particular purpose, or non-infringement, and any warranty that the Site will be uninterrupted or error-free.

23. Limitation of liability

To the fullest extent permitted by law, DEKALOS is not liable for any indirect, incidental, consequential, special or punitive loss, or for any loss of profit, revenue, savings, business or data, arising from the Site, a report, reliance on a report, or a vendor's response to a query, however caused. Where liability cannot be excluded, the total liability of DEKALOS for all claims arising in any twelve-month period is limited to the fees you paid DEKALOS in that period, or US $100 if you paid none. Nothing in these Terms excludes liability that cannot lawfully be excluded.

24. Indemnity

You will indemnify DEKALOS against any claim, loss or expense (including reasonable legal costs) arising from a breach of section 19 or 20 by you, or from a Document you sent without the right to do so.

25. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Any dispute that cannot be resolved by discussion within thirty days is subject to the exclusive jurisdiction of the courts of Ontario, except that either party may seek injunctive relief in any competent court.

26. General

  • Entire terms. These Terms and the Privacy Policy are the whole agreement between you and DEKALOS concerning the Site and the free review.
  • Severability. If any provision is held unenforceable, the remainder continues in effect.
  • No waiver. A failure to enforce a provision is not a waiver of it.
  • Assignment. You may not assign these Terms. DEKALOS may assign them to a successor to its business.
  • Changes. We may revise these Terms; the effective date above changes when we do. Continued use after that date is acceptance.
  • Language. These Terms are written in English. Any translation is for convenience only.

This page describes how DEKALOS actually operates and is written in plain language. It is not legal advice about your own situation.
